Terms of Service

Effective date: October 16, 2026·Last updated: October 16, 2026

Draftwell AI LLC ("Draftwell," "we," "us," or "our") provides spatial visualization, design, CRM, proposal, takeoff, ERP, and AI assistant software for design and construction teams (the "Services"), including our website at draftwell.ai, our web application, and our iOS application.

These Terms of Service ("Terms") govern your access to and use of the Services. By creating an account, clicking to accept, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Our Privacy Policy at https://draftwell.ai/privacy explains how we collect and use personal information. Capitalized terms used but not defined in these Terms have the meanings given in the Privacy Policy where applicable.

1. Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Services. The Services are intended for business and professional use, not for children.

You are responsible for the accuracy of information you provide, for keeping your login credentials confidential, and for all activity under your account. Notify us promptly at the contact below if you suspect unauthorized access.

If you create or join an organization workspace, an organization owner or admin may control membership, roles, billing, connectors, and content within that workspace. Your continued access may depend on that organization’s policies and subscription status.

2. Subscriptions, trials, and payments

Some features require a paid subscription, add-on, or credit purchase. Prices, plan limits, and included features are described at checkout, in-product, or in an order form. We may change pricing or plan structure prospectively with notice as described in Section 14.

Unless otherwise stated, fees are billed in advance, non-refundable except where required by law or expressly stated by Draftwell, and exclusive of applicable taxes. Payment processing is handled by our payment processors (for example Stripe and/or Elavon when enabled); we do not store full payment card numbers on Draftwell servers.

If payment fails or a subscription lapses, we may suspend or limit access to paid features until the account is brought current. Unused AI credits or similar consumables expire according to the terms shown at purchase unless law requires otherwise.

3. Your content and licenses

You (or your organization) retain ownership of content you upload or create in Draftwell, including scans, models, floor plans, CRM records, proposals, templates, documents, images, and similar materials (“Customer Content”).

You grant Draftwell a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Content solely as needed to provide, maintain, secure, and improve the Services (including backups, abuse prevention, and support), and to generate outputs you request (for example AI responses, renders, PDFs, or embeddings).

You represent that you have all rights needed to submit Customer Content and to grant this license, and that Customer Content does not violate law or third-party rights. You are responsible for obtaining any consents required from your own customers or end users.

4. AI features

Draftwell may offer AI-powered features (for example assistants, Business Brain search, photoreal renders, or finish detection) that send prompts, documents, images, or related context to subprocessors such as OpenAI, Anthropic, xAI, or fal.ai to return results for your request.

AI outputs can be inaccurate, incomplete, or inappropriate for your use case. You are solely responsible for reviewing outputs before relying on them for design, estimating, contracting, legal, or other professional decisions. Do not submit data to AI features that you are not permitted to process.

Unless we expressly agree otherwise in writing, AI features are provided as tools to assist you; they do not create professional advice, warranties of fitness for a particular project, or guarantees of constructability, code compliance, or pricing accuracy.

5. Third-party services and connectors

Optional connectors (for example Google, Microsoft, Salesforce, LinkedIn, Meta, Dropbox, Apple Sign-In, and payment providers) are subject to those third parties’ terms and privacy policies. Enabling a connector authorizes Draftwell to exchange data as needed to perform the connected actions you or your admins initiate.

We are not responsible for third-party services, their availability, or their handling of data once you authorize a connection. You can disconnect connectors in Draftwell settings (subject to role permissions) and should also revoke access in the provider’s security settings when you want access to end at the source.

6. Acceptable use

You agree not to:

  • Use the Services in violation of law, regulation, or third-party rights.
  • Upload malware, attempt to probe or disrupt systems, bypass rate limits or access controls, or reverse engineer the Services except where such restriction is prohibited by law.
  • Scrape, harvest, or bulk-export data in a way that harms the Services or violates another user’s or organization’s rights.
  • Use the Services to send spam, phishing, or deceptive communications, including via connected email or social publishers.
  • Misrepresent your identity or affiliation, or forge e-signature or audit records.
  • Resell, sublicense, or provide the Services to third parties as a competing standalone offering without our written consent.
  • Use Customer Content or AI features to train competing foundation models in a manner that violates these Terms or applicable provider terms.

7. Proposals and electronic signatures

Proposal assembly, guest signing, and related workflows are tools for your business processes. You are responsible for the content of proposals, the authority of signers, and compliance with e-signature and contracting laws that apply to your transactions.

Audit trails and consent records we store are provided to support your records; they do not guarantee that a particular signature satisfies every jurisdiction’s requirements for your deal.

8. Draftwell intellectual property

Draftwell and its licensors own the Services, including software, UI, branding, documentation, and underlying technology. These Terms do not transfer ownership of Draftwell IP to you.

Subject to these Terms and your subscription, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during the term of your account or organization subscription.

Feedback you provide may be used by Draftwell without restriction or obligation to you.

9. Confidentiality

Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential. The receiving party will use that information only to perform under these Terms and will protect it with reasonable care.

Confidentiality obligations do not apply to information that is or becomes public through no fault of the receiving party, was already known without duty of confidentiality, is independently developed, or is required to be disclosed by law (with notice where legally permitted).

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRAFTWELL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that Customer Content or AI outputs will be accurate or complete. Spatial scans, takeoffs, estimates, and renders are aids for your work—not certified surveys, stamped drawings, or construction documents unless you separately engage qualified professionals.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRAFTWELL AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRAFTWELL’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO DRAFTWELL FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE PAID NOTHING).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You will defend and indemnify Draftwell and its affiliates against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your use of the Services, your violation of these Terms, or your violation of law or third-party rights, except to the extent caused by Draftwell’s willful misconduct.

13. Suspension and termination

You may stop using the Services at any time. Organization owners may delete an organization subject to product capabilities. Account deletion requests may be submitted as described in our Privacy Policy and data-deletion instructions.

We may suspend or terminate access if you breach these Terms, if required by law, or if needed to protect the Services, other users, or third parties. We may also discontinue or modify the Services with reasonable notice when practicable.

Upon termination, your right to access the Services ends. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms at https://draftwell.ai/terms and revise the “Last updated” date. Material changes will take effect on the stated effective date or upon posting if you continue using the Services after notice. If you do not agree to updated Terms, you must stop using the Services.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless applicable law in your jurisdiction requires otherwise for consumer protections that cannot be waived.

Except where prohibited, disputes arising out of these Terms or the Services will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Either party may seek injunctive relief for unauthorized use of IP or breach of confidentiality in any court of competent jurisdiction.

16. General

These Terms, together with any order form or plan-specific terms we present at purchase and the Privacy Policy for privacy practices, are the entire agreement between you and Draftwell regarding the Services and supersede conflicting prior agreements on the same subject.

If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

The Services may be subject to U.S. and other export laws; you will not use them in violation of those laws.
